gpf End User License Agreement
This End User License Agreement (the "Agreement") is between Grid Inno LLC ("Grid Inno") and the individual or entity that downloads, installs, or uses the gpf software ("you"). By downloading, installing, or using gpf, you agree to this Agreement. If you do not agree, do not install or use gpf.
1. Definitions
"Software" means the gpf power-flow solver and study toolkit in any edition, including its packages, binaries, documentation, and license keys. "Free Edition" means the edition available without payment or a license key. "Academic Edition" means the edition issued to eligible academic users after review. "Pro Edition" means any edition provided under a paid subscription. "Commercial Use" means use in or in support of work performed for compensation or for the benefit of any for-profit entity, including studies, analyses, deliverables, or filings prepared for clients, utilities, or regulators.
2. License grants
Free Edition. Grid Inno grants you a non-exclusive, non-transferable, revocable license to install and use the Free Edition for personal, educational, and other non-commercial purposes, and for internal evaluation by a commercial entity considering a paid subscription. Commercial Use of the Free Edition, other than such internal evaluation, is not permitted.
Academic Edition. Grid Inno grants eligible users at degree-granting institutions a non-exclusive, non-transferable, revocable license to install and use the Academic Edition for non-commercial coursework and research, subject to eligibility review and periodic renewal. If the Software supports published work, a citation is requested.
Pro Edition. Grid Inno grants subscribers a non-exclusive, non-transferable license to install and use the Pro Edition, including for Commercial Use, for the subscription term and within the licensed seat and system-size limits.
3. Restrictions
Except as expressly permitted by this Agreement or by law, you may not: redistribute, sublicense, rent, lease, or otherwise provide the Software or license keys to any third party; reverse engineer, decompile, or disassemble the Software; remove or alter proprietary notices; or circumvent license enforcement or edition limits.
4. Ownership
The Software is licensed, not sold. Grid Inno and its licensors retain all right, title, and interest in the Software. You retain all rights to your own input data and to results you produce with the Software.
5. Third-party components
The Software includes third-party components licensed under their own open-source or vendor terms, which are provided in the license files shipped with the Software. Those terms govern the respective components and prevail over this Agreement for them; nothing in this Agreement restricts rights granted by those licenses.
6. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRID INNO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF RESULTS PRODUCED BY THE SOFTWARE.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRID INNO WILL NOT BE LIABLE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF WARRANTY, STATUTORY OR STRICT LIABILITY, OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, INCLUDING LOSS OF REVENUE, LOSS OF PROFIT, LOSS OF PRODUCTION, LOSS OF USE OF ANY EQUIPMENT, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GRID INNO'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE WILL NOT EXCEED THE FEES PAID BY YOU TO GRID INNO FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, GRID INNO'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Professional judgment; no engineering services
Outputs of the Software are computational results, not engineering advice. You are responsible for independent review of all results by a qualified engineer before their use in any design, operational, commercial, or regulatory decision. This Agreement does not constitute the provision of professional engineering services by Grid Inno.
9. High-risk use
The Software is an offline study tool. It is not designed, licensed, or intended for real-time monitoring, protection, or control of power system equipment, or for any application in which failure could lead to personal injury or to physical or environmental damage, and you may not use it for such purposes.
10. Termination
This Agreement terminates automatically if you breach it. Upon termination you must stop using the Software and delete your copies. Sections 4 through 9 survive termination.
11. License validation and privacy
Except for enterprise offline (air-gapped) activation, licensed editions of the Software contact Grid Inno's licensing service on activation and periodically thereafter, transmitting the license identifier and a hashed machine identifier; raw hardware identifiers never leave your machine. This data, and personal data handled through the Grid Inno website and customer portal, are described in the Grid Inno Privacy Notice.
12. General
This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in North Carolina. If any provision is held unenforceable, the remainder stays in effect. This Agreement is the entire agreement concerning the Software; paid subscriptions are additionally governed by their ordering terms.
