Terms of Service
These Terms of Service (the "Terms") are between Grid Inno LLC ("Grid Inno") and you, and govern the Grid Inno websites, customer accounts, and the customer portal (together, the "Services"). By creating an account or purchasing a subscription, you agree to these Terms. Use of the gpf software itself is governed separately by the gpf End User License Agreement.
1. Accounts
You must provide accurate account information and keep your sign-in email under your control; anyone who can read that mailbox can access the account. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind it, and "you" means that organization. You are responsible for activity under your account and for the members you grant access to your organization's licenses.
2. Subscriptions and billing
Paid subscriptions are billed by Stripe on the interval you choose and renew automatically until canceled. Seat count and billing interval can be changed at any time through the billing portal; changes are prorated by Stripe. Prices may change with notice, taking effect at your next renewal. You are responsible for applicable taxes.
3. Cancellation and refunds
You may cancel at any time through the billing portal; the subscription remains active until the end of the paid period, and licenses lapse when it ends. Except where required by law, fees are non-refundable.
4. Acceptable use
You may not attempt to gain unauthorized access to the Services or to other customers' data, probe or disrupt the Services, share license keys outside your organization, or misrepresent your identity or eligibility (including academic eligibility).
5. Availability and changes
The Services are provided as available. Grid Inno may modify or discontinue features of the Services; if a discontinued feature makes a paid subscription materially unusable, your remedy is a pro-rated refund of the unused term.
6. Disclaimer and limitation of liability
THE SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRID INNO WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, AND ITS AGGREGATE LIABILITY WILL NOT EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.
7. Termination
Grid Inno may suspend or terminate an account that breaches these Terms. You may close your account at any time by contacting us; closing an account does not refund fees already paid, and Sections 6 and 8 survive.
8. General
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the state and federal courts located in North Carolina. If any provision is held unenforceable, the remainder stays in effect. Grid Inno may publish updated Terms, which take effect for your use of the Services after their effective date.
